By accessing or using our website, submitting RFQ forms, or uploading project files, you (“Client,” “user,” or “you”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

1. Website Use and Form Submissions

By using our Request for Quote (RFQ) or contact forms, you agree to provide accurate, current, and complete information. You must be at least 18 years old or accessing the site on behalf of a legally recognized business entity to submit project specifications.

2. File Uploads and Intellectual Property Rights

Our website allows you to upload digital files, including but not limited to CAD models, 2D/3D engineering drawings, blueprints, and technical specifications (collectively, “Project Files”).

  • Ownership: You retain full ownership and all intellectual property rights to any Project Files you upload.
  • Limited License: By uploading Project Files, you grant BMW Precision Machining Inc. a temporary, non-exclusive, royalty-free, worldwide license to use, review, store, and replicate the files solely for the purposes of evaluating manufacturing feasibility, generating cost estimates, and fulfilling your manufacturing orders.
  • Prohibited Content: You agree not to upload any files that contain malicious code, viruses, or malware, or any content that infringes upon the intellectual property, patents, or copyrights of any third party.

3. Engineering Accuracy and Design Liability

BMW Precision Machining Inc. manufactures components strictly according to the geometry, dimensions, tolerances, and material specifications provided directly within your uploaded Project Files.

  • You assume sole and absolute responsibility for the engineering accuracy, structural integrity, and functional performance of the designs you submit.
  • We do not provide engineering validation or product design services through this website. We assume no liability for manufactured parts that fail to fit, function, or perform due to design flaws, omissions, or dimensioning errors in your original files.

4. Non-Binding Estimations and Quotes

Any pricing metrics, cost estimates, or lead times generated dynamically or communicated via initial website form submissions are strictly preliminary and non-binding.

  • A quotation only becomes legally binding upon a thorough review of the Project Files by our engineering team and the subsequent issuance of a formal, written Purchase Order acknowledgment from BMW Precision Machining Inc.
  • We reserve the right to decline any project or adjust pricing due to material availability, machining complexity, or capacity constraints.

5. Export Control and Regulatory Compliance (ITAR/EAR)

You agree and guarantee that you will not upload, transmit, or submit any Project Files, technical data, or blueprints that are subject to United States export control laws, including the International Traffic in Arms Regulations (ITAR) or the Export Administration Regulations (EAR), unless you have received explicit prior written authorization from us and a secure, legally compliant transfer protocol has been established. BMW Precision Machining Inc. assumes no liability for unauthorized submissions of regulated defense or aerospace data.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BMW Precision Machining Inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, production downtime, or business interruption arising out of your use or inability to use this website, or any reliance placed on preliminary web estimates.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in San Diego County, California.

We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted directly to this page with an updated “Effective Date.” Your continued use of the website following the posting of changes constitutes acceptance of those modifications.
